Multi-Level Marketing (MLM)

One of the product-sales methods in which network marketing companies organize, through their websites, their ‘sales consultants’ — who act as consumers of the company’s products and services (independent of a fixed place of business) — to introduce and sell the company’s products to other consumers. In this way, each ‘sales consultant’ can build their own sales group by introducing another ‘sales consultant,’ leading to the growth of their own and the company’s sales, and thereby earning income.

Unique Business Code

When a ‘sales consultant’ registers on the Persian Way company website, their identification information is recorded in the database of the Ministry of Industry, Mining and Trade, and a unique code (consisting of letters and numbers) is assigned to them to prevent one person from operating simultaneously in multiple network marketing companies.

Virtual Office

A virtual environment on the company’s website assigned to each ‘sales consultant’ accepted into the ‘Persian Way Business Plan.’ The accepted ‘sales consultant’ can access this environment using their username and password to control and manage all their activities and financial affairs. Each ‘sales consultant’ is permitted to have only one virtual office and must comply with all provisions of the related contract.

Inactive Virtual Office

If a ‘sales consultant,’ without a legally valid reason, is not an ‘active sales consultant’ for 3 consecutive months from their last recorded invoice, they will no longer be considered a company ‘sales consultant’; their consultant code and virtual office will be closed, and the company will bear no responsibility toward that person. The first month after registration (regardless of which day of the working month) is not subject to this provision. The consultant code and virtual office are closed by changing their ‘consultant code’ to a ‘customer code,’ and the sales group of the ‘inactive sales consultant’ is transferred to the first person in the upline support line. If the ‘sales consultant’ requests reactivation, they will not be entitled to claim or reclaim ownership of their previous sales group.

EMTA System

A ‘sales consultant,’ in order to engage in multi-level marketing, must have reached the legal age (18 years). In this regard, registration in the EMTA system and verification of age and identity using a mobile phone number registered under the ‘sales consultant’s’ name is mandatory, per the directive issued by the Ministry of Industry, Mining and Trade.

Product

Anything for which Persian Way company has obtained a supply license from the Secretariat of the Network Marketing Supervisory Committee. Purchasing goods or services from the company that are referred to other websites or customer clubs has no legal standing and is not covered by this plan.

Product Pack

Goods that, upon approval from the Network Marketing Committee, are placed as a pack in the company’s product basket to mark special occasions during the year, national and religious occasions, or to encourage consumers to use those goods together, and are specially announced and sold on the company’s website.

Persian Way Business Plan (Compensation Plan)

A plan devised by Persian Way company for calculating the amounts due to ‘sales consultants’ in the form of discounts and commissions for product sales, training, building a sales organization, and managing and leading the sales organization. Details of the ‘Persian Way Business Plan’ are made available to consultants through the company’s official publication channels, under the heading of profit or commission allocation methods. The arrangement, implementation method, and communication tools of these plans are subject to change; that is, they may be amended according to prevailing circumstances, including mandatory governing laws. For this reason, while declaring their readiness to cooperate, sales consultants undertake to continuously follow up on information regarding the ‘Persian Way Business Plan.’

Contract

The contract form prepared by the Network Marketing Supervisory Committee, whose subject is the obligations of the parties and the terms for payment of specified amounts by the company to the ‘sales consultant’ under the ‘Persian Way Business Plan.’

Contract Termination

Either party may terminate the contract within the first 60 days after signing it. After this period expires, the party wishing to terminate must notify the other party in writing, through the ‘Virtual Office,’ fifteen days before the termination.

Minimum Purchase

The minimum monthly purchase and sales amount required of a ‘sales consultant’ is 100,000 tomans, upon achieving which the ‘sales consultant’ becomes eligible to receive commission from their sales organization.

Buy Back

Persian Way products may be returned if they are resalable. In the event of contract termination by either party, the purchase price of all goods bought within the 1 year prior to termination — which are held by the marketer and are customarily resalable — will, after deducting packaging, shipping, and return costs from the purchase price, be paid to the ‘sales consultant’ in the next group commission payment to ‘sales consultants.’

Balance Requirement

In the ‘Persian Way Business Plan,’ there is no balance requirement for receiving commission, and none is applied.

Consumer Price

Refers to the price printed on the product for consumers.

Sales Consultant Price

Generation

When a sales consultant reaches a certain rank, the downline sales team members holding the ‘same’ rank as them are called one generation.

Level

Every individual introduced to the ‘Persian Way Business Plan’ is placed as the first level of the person who introduced them. There is no limit on the number of ‘sales consultants’ a person may have. All sales consultants introduced by first-level ‘sales consultants’ are considered second level, and this process continues in the same manner for subsequent levels.

Sales Leg

The arrangement of ‘sales consultants’ and their hierarchy in the sales structure — including the position of sales consultants and those who introduced them, ultimately leading to the company — is called a sales leg. In other words, whenever a ‘sales consultant’ registers another person with their consultant code at their level 1, and that person in turn introduces one or more persons to the company, the total of these individuals, who have registered directly or indirectly in that consultant’s sales organization, forms one sales leg. The position of each of these individuals is established by virtue of their contractual relationship with the company and is subject to the country’s mandatory laws.

Each ‘sales consultant’ can attain a rank at Persian Way company based on their monthly activity and a specific volume of personal sales and sales-organization sales. Each of these ranks receives commission commensurate with that rank in accordance with the approved ‘Persian Way Business Plan.’

Sales Group

Each ‘sales consultant’ can introduce any of their buyers who wish to cooperate as a ‘sales consultant’ as part of their downline, and after their acceptance by the company, form a sales group. This process can also be carried out by any new ‘sales consultant,’ resulting in a multi-level group of ‘sales consultants’ in which each level is considered a downline of the level preceding it.

Base Leg

The leg with the highest sales volume for each person is identified as the base leg.

Retail Customer

Individuals who, as end consumers, order their desired product from a ‘sales consultant’ of Persian Way company; the ‘sales consultant,’ after receiving the product from the company, delivers it to the customer. They do not receive additional services such as discounts from the company.

Organizational Volume

Refers to the personal sales of an active ‘sales consultant’ together with the sales of all of that person’s downline.

Sales Consultant

Any natural person invited to the ‘Persian Way Business Plan’ to introduce and sell ‘Persian Way company’ products, who, if personally willing, registers on the ‘Persian Way company’ website by providing their personal information and their sponsor’s code, and after receiving a unique business code, gains the ability to participate in training courses on products, sales, marketing, and building a sales organization.

Compression

The ‘Persian Way Business Plan’ is designed so that if a person does not meet the requirements to be an ‘active sales consultant’ in a given month, that person is disregarded within the ‘sales organization’ for that month, and anyone meeting the minimum requirement — i.e., being an ‘active sales consultant’ — is placed at the level of the first ‘active sales consultant’ above them. Compression applies only to the first 7 direct levels of the person’s position.

Inactive Sales Consultant

A sales consultant who, during a solar month, has purchased less than 100,000 tomans’ worth of company products for sale or for personal and family use through the company’s website, and who is only entitled to receive the retail commission of the ‘Persian Way Business Plan.’

Customer

A customer is, in fact, the customer of a ‘sales consultant,’ who has registered on the company’s website using that consultant’s sponsor code. These individuals are not authorized to utilize or introduce other people to the ‘Persian Way Business Plan,’ and they visit the website solely to purchase company products at the price listed on each product; however, they may benefit from the company’s other services. A customer’s purchase counts as a qualifying figure toward ‘active sales consultant’ status.

Personal Group

The personal sales of a ‘sales consultant’ plus the sales of all legs other than the base leg (the leg with the highest sales) are called the personal group.

Active Sales Consultant

A ‘sales consultant’ who takes responsibility for presenting, introducing, and selling the company’s products, and who receives commission from the company for product sales — provided that, through the company’s website, during a solar month, they have purchased at least 100,000 tomans’ worth of company products for marketing, sale, or personal and family use. Only under this condition are they entitled to receive all commissions of the ‘Persian Way Business Plan.’ Otherwise, they are an ‘inactive sales consultant’ and receive only retail profit.

Retail Profit

The purchase and sale of any product carried out directly by the ‘sales consultant’ is called retail sale, for which the ‘sales consultant’ is entitled to a 20% retail margin on the product price, deducted in cash from the invoice at that same moment. There is no condition for receiving retail profit, and all consultants, regardless of purchase amount, can receive it.

Personal Sales

Refers to the registration of an order and sale of a product carried out through a ‘sales consultant’s’ office.

Commission

Refers to the income derived from the activity of the sales organization, commensurate with the performance of downline individuals, calculated through the company’s income-generation plan and paid to the ‘active sales consultant.’ This commission is calculated as compensation for performance during a month in accordance with the ‘Persian Way Business Plan’ and is paid into the consultant’s account by the 7th business day of the following month. This amount is paid, in total, up to a maximum of 40% of company sales as commission to all active ‘sales consultants’ during a month. In other words, the company’s total payout is at most equivalent to 40% of company sales.

Retail Sales

Purchase of goods by a ‘sales consultant’ for personal use, or direct sale of goods to consumers.

Business Partners Group (Share)

From the ‘active sales consultant’ group up to ‘3-Star Sales Consultant’ are placed in the ‘Business Partners’ group. Builder Group: From ‘1-Star Sales Manager’ up to ‘3-Star Sales Manager’ are placed in the ‘Business Builders’ group.

Wholesale Discount

A cash discount is applied, according to the tiered table of the ‘Persian Way Business Plan,’ to the total retail points of the ‘sales consultant’ on an invoice, and is deducted in cash from the invoice at that same moment. There is no condition for receiving a wholesale discount, and all consultants can receive it according to the tiered table.

Business Leaders Group (Leader)

From ‘1-Star Sales Manager’ up to ‘3-Star Sales Manager’ are placed in the ‘Business Builders’ group.

Level Commission

Refers to the income derived from one layer of team sales, calculated in accordance with the ‘Persian Way Business Plan’ and paid to the ‘active sales consultant.’ A maximum of 7 same-rank payment levels is considered for the tree structure formed below each person.

Business Builders Group (Builder)

From the ‘1-Star Leader’ group up to the ‘6-Star Leader’ group and ‘Senior Leader’ are placed in the ‘Business Leaders Group.’ Note: The ‘Persian Way Business Plan’ is designed in accordance with the regulations of the Secretariat of the Network Marketing Supervisory Committee, and there is absolutely no pool bonus or group/company-wide sales-point reserve bonus for receiving commission or bonuses; none is applied.

Business Partners

The Share group and the ranks within it are, in fact, the base ranks for the Builder and Leader groups. Individuals holding various ranks in the Builder and Leader groups do not receive commission from the Share ranks. Note: Commission can be received at all ranks, up to 7 levels. Example: Suppose a ‘sales consultant’ has, in one month, 100,000 personal sales points, and in their sales organization has earned 100,000 points in their first leg, 200,000 points in their second leg, 300,000 points in their third leg, and 1,000,000 points in their fourth leg. This person’s base leg: 1,000,000 points. This person’s personal group: 700,000 points. Therefore, this person’s organizational rank for that month will be ‘2-Star Sales Consultant.’
